Artículo 1 – Objeto y ámbito de aplicación

  • el devengo de intereses de demora al tipo legal previsto en el artículo 7 de la Ley 3/2004 (tipo de interés aplicado por el Banco Central Europeo en su más reciente operación principal de financiación, incrementado en ocho puntos porcentuales), desde el día siguiente al vencimiento hasta el pago completo;
  • el derecho del Vendedor a percibir una cantidad fija de 40 € por cada factura impagada en concepto de costes de cobro, así como la indemnización de todos los costes de cobro adicionales debidamente acreditados que superen dicha cantidad, conforme al artículo 8 de la Ley 3/2004;
  • el vencimiento anticipado de todas las cantidades adeudadas por el Cliente, cualquiera que sea su vencimiento inicial;

2.2. The Products comply with the applicable European Union regulations (in particular regarding CE marking) in force on the date of the order. The Customer is responsible for verifying the suitability of the Products for its process, machines, inks, varnishes, adhesives or substrates, and their compatibility with its installation, unless the Seller has expressly undertaken in writing to achieve a specific result.

2.3. The Seller may make technical changes to the Products that do not alter their essential performance. Listing a Product in a catalogue or price list does not oblige the Seller to supply it, in particular in the event of stock shortage, discontinuation by the manufacturer or impossibility of supply.

Article 3 – Quotations and orders

3.1. Quotations. Unless otherwise stated, the Seller’s quotations are valid for one (1) month from their date of issue. After this period, the Seller may revise prices and lead times.

3.2. Placing an order. An order is placed by signed acceptance of the quotation (including electronic signature on the Seller’s portal) or by sending a purchase order referring to the quotation. The contract is only concluded upon confirmation of the order by the Seller, in writing or by email, or upon commencement of its performance.

3.3. Changes and cancellation. A confirmed order may not be changed or cancelled without the Seller’s prior written consent. If the Customer cancels a confirmed order, for any reason and without prejudice to any additional damages that may be due:

  • any down payment already made shall be retained by the Seller; or, failing that,
  • the Customer shall pay an amount equal to 30% of the total price, excluding taxes, of the cancelled order.

Products manufactured, configured or purchased specifically for the Customer (custom equipment, lamps or reflectors of special dimensions, etc.) may not be cancelled once their manufacture or purchase from the supplier has been launched, and will be invoiced in full.

3.4. Order verification. The Customer warrants the accuracy of the information provided (company name, tax number/intra-community VAT number, invoicing and delivery addresses, technical references). The Seller may refuse or cancel, without any compensation, the order of a Customer who has provided inaccurate information, who has outstanding amounts or a dispute relating to a previous order, or whose creditworthiness has not been sufficiently established. The Seller may also make acceptance of an order conditional upon obtaining credit insurance cover, advance payment or the provision of a guarantee.

3.5. Minimum order. The Seller reserves the right to set a minimum order value or to apply handling and shipping charges to small orders, under the conditions stated in the quotation.

Article 4 – Prices

4.1. Prices are expressed in euros, excluding taxes. VAT or any other indirect tax applicable on the date the tax becomes chargeable will be added. For intra-community supplies and exports, VAT exemption is conditional upon the Customer providing a valid intra-community VAT number and, where applicable, documentation evidencing the transport.

4.2. Unless otherwise stated in the quotation, Product prices apply to the delivery terms set out therein. Packaging, transport, insurance, customs and handling costs are indicated in the quotation or invoiced separately.

4.3. Services are invoiced in accordance with the quotation or, failing that, at the Seller’s rates in force on the date of the intervention (normal working hours, overtime, travel time, mileage, tolls, meal allowances and accommodation).

4.4. Where delivery is to take place more than four (4) months after order confirmation, or is delayed for reasons attributable to the Customer, the Seller may pass on any price increases applied to it by its manufacturer or supplier, duly evidenced, after written notice to the Customer.

4.5. Any request made by the Customer after order confirmation that generates additional costs (special packaging, express shipping, re-shipment, change of address, etc.) will be invoiced additionally.

Article 5 – Invoicing and payment terms

5.1. General term. Unless otherwise agreed in specific conditions, invoices are payable by bank transfer within thirty (30) calendar days from the date of delivery of the Products or performance of the Services. In accordance with Spanish Law 3/2004 of 29 December on combating late payment in commercial transactions, the agreed payment term may in no case exceed sixty (60) calendar days.

5.2. High-value orders. For any order exceeding €10,000 (excluding taxes), the Seller may require a down payment of up to 30% of the total price, payable upon order confirmation, as stated in the quotation. In that case, the balance will be invoiced upon delivery and is payable under the conditions of Article 5.1.

5.3. First orders and exports. The Seller may require advance payment for a new Customer’s first orders and for sales shipped outside the European Union.

5.4. Means of payment. Payments shall be made by bank transfer to the account indicated on the invoice, or by any other means accepted in writing by the Seller. Bank charges are borne by the Customer. No discount is granted for early payment.

5.5. Electronic invoicing. The Customer agrees to receive invoices in electronic format at the email address provided to the Seller.

5.6. Set-off. The Customer may not, without the Seller’s prior written consent, suspend, withhold or set off payments, even in the event of a claim. Any unilateral withholding, deduction or set-off will be treated as non-payment.

5.7. Late payment. Failure to pay by the due date shall automatically, without the need for prior notice, entail:

  • late-payment interest at the statutory rate provided for in Article 7 of Law 3/2004 (the interest rate applied by the European Central Bank to its most recent main refinancing operation, plus eight percentage points), from the day following the due date until payment in full;
  • the Seller’s right to a fixed sum of €40 per unpaid invoice as compensation for recovery costs, together with compensation for any duly evidenced additional recovery costs exceeding that amount, in accordance with Article 8 of Law 3/2004;
  • all amounts owed by the Customer becoming immediately due, regardless of their original due date;
  • the Seller’s right to suspend or cancel orders and Services in progress fifteen (15) days after an unsuccessful demand for payment, and to require advance payment or guarantees for any new order.

Partial payments shall be allocated first to costs and interest and then to the oldest invoices.

Article 6 – Delivery

6.1. Delivery terms. Deliveries are made in accordance with the Incoterm® (ICC, 2020 edition) stated in the quotation or order confirmation. If none is stated, FCA Sant Adrià de Besòs (Barcelona) shall apply. Where this default term applies and the Products are shipped directly from the manufacturer’s premises, risk passes to the Customer when the Products are handed over to the first carrier. Delivery of an order may be subject to receipt of the down payment provided for in Article 5.

6.2. Lead times. Delivery times are given for information purposes only, depending on the availability of the Products and the manufacturing and transport lead times of the Seller’s suppliers, in particular the manufacturer IST METZ. Reasonable delays shall not entitle the Customer to cancel the order, reject the Products or claim any compensation.

6.3. Partial deliveries. The Seller may make partial deliveries, which may be invoiced separately.

6.4. Acceptance of delivery. The Customer undertakes to take delivery of the Products on the agreed date and at the agreed place. If the Customer fails to take delivery or requests postponement, the Seller may invoice the Products and store them at the Customer’s expense and risk, charging storage and redelivery costs. Costs resulting from inaccurate delivery information provided by the Customer shall be borne by the Customer.

6.5. Collection. With the Seller’s prior consent, the Customer may collect the Products at the place indicated by the Seller.

6.6. Destinations outside Spain. Where the Products are destined for a country other than Spain, the Customer acts as importer of the Products and is responsible for compliance with the regulations of the country of destination and for the customs formalities incumbent upon it under the applicable Incoterm.

Article 7 – Conformity and claims

7.1. The Customer shall check the number and apparent condition of the packages upon delivery and record any damage, shortage or anomaly by means of clear, precise and detailed reservations on the carrier’s delivery note.

7.2. Claims for apparent defects, shortages or non-conformity of the Products with the order must be notified in writing to the Seller (and, where applicable, to the carrier) within four (4) calendar days of receipt, in accordance with Article 336 of the Spanish Commercial Code, together with photographs and the delivery documents. Internal defects not detectable upon receipt are governed by the warranty set out in Article 10.

7.3. No return will be accepted without the Seller’s prior written authorisation, which will provide the Customer with instructions and a return number. Products must be returned in their original condition and packaging. Returns of unsold or unused Products, or of Products manufactured or purchased specifically for the Customer, will not be accepted.

7.4. If the non-conformity is acknowledged by the Seller, the Seller shall, at its option, replace, repair or credit the affected Products, to the exclusion of any other compensation. Unless the Seller’s liability is established, the costs and risks of return shall be borne by the Customer.

7.5. In the absence of a claim within the time limits and in the manner indicated, the Products shall be deemed to have been received in conformity and in good condition.

Article 8 – Retention of title and transfer of risk

8.1. Retention of title. In accordance with Article 10 of Law 3/2004, the Seller retains ownership of the Products delivered until full payment of their price, including interest, taxes and ancillary costs. The delivery of promissory notes, cheques or other instruments does not constitute payment until they are actually cashed.

8.2. Until ownership has been transferred, the Customer may not pledge, encumber or assign the Products as security. The Customer is authorised to use or resell them in the ordinary course of its business; in the event of resale, the Customer assigns to the Seller, by way of security, its claim against the sub-purchaser up to the amount outstanding. The Customer shall immediately inform the Seller of any seizure, precautionary measure, insolvency filing or circumstance that may affect the Seller’s rights, and shall cooperate in identifying and recovering the Products.

8.3. In the event of non-payment on the due date, the Seller may, after a demand that has remained unsuccessful for fifteen (15) days, terminate the sale and demand the return of the Products at the Customer’s expense, without prejudice to compensation for damages.

8.4. Transfer of risk. Notwithstanding the retention of title, the risks of loss, damage or theft of the Products pass to the Customer in accordance with the applicable Incoterm, as set out in Article 6.1. The Customer undertakes to keep and insure the Products appropriately.

Article 9 – Services: installation, technical assistance, training and rental

9.1. Services are provided under the conditions described in the quotation. Unless otherwise agreed, normal working days are Monday to Friday on business days, and travel time, overtime, weekend or public holiday interventions, travel, tolls, meal allowances and accommodation are invoiced at the Seller’s rates in force.

9.2. The Customer undertakes to: (i) provide access to the machine and installation on the agreed date; (ii) where applicable, make the machine available stopped, locked out and clean, together with the necessary utilities (electricity, compressed air, extraction, cooling); (iii) inform the Seller’s personnel of the risks present on its premises and of the applicable safety rules, in compliance with the regulations on coordination of business activities in the field of occupational risk prevention; and (iv) appoint a competent contact person. Waiting time or additional interventions caused by failure to comply with these obligations will be invoiced.

9.3. Interventions carried out under warranty are limited to the repair of defects covered by Article 10 or Article 9.6. Any intervention requested by the Customer that turns out not to be covered by the warranty (misuse, normal wear, cause external to the Product) will be invoiced at the rates in force.

9.4. Training. Training is provided in accordance with the programme stated in the quotation. Any cancellation by the Customer less than ten (10) calendar days in advance will result in 50% of the price being invoiced, together with any travel expenses already committed.

9.5. Rental. Equipment rented out remains the property of the Seller. The Customer is responsible for its safekeeping, use in accordance with the manufacturer’s instructions and insurance throughout the rental period, and must return it in the condition in which it was received, save for normal wear and tear. The duration, price and deposit are set out in the quotation.

9.6. Warranty on Services. Repairs and technical interventions carried out by the Seller are warranted against defects in workmanship for a period of three (3) months from their completion. In the event of a defect in workmanship duly notified in writing within that period, the Seller shall perform the defective intervention again free of charge. Parts supplied are covered by the warranty set out in Article 10. The exclusions of Article 10.5 and the liability limits of Article 11 apply.

9.7. Maintenance contracts. Maintenance contracts are concluded for the term and with the content stated in the contract or quotation. Unless otherwise provided in the contract, they are tacitly renewed for successive periods of the same duration, unless terminated by either party in writing at least one (1) month before their expiry. The price of the renewed contract may be revised according to the Seller’s rates in force, communicated to the Customer before expiry. Parts, lamps and consumables replaced during maintenance are invoiced additionally, unless expressly included in the contract price.

Article 10 – Warranty

10.1. Duration. Unless otherwise agreed in specific conditions, the Products are warranted against any defect in materials, design or manufacture for a period of twelve (12) months from delivery. The repair or replacement of a Product or part under warranty neither extends nor renews the original warranty period.

10.2. Consumables and wear parts. UV lamps, LED modules, reflectors, mirrors, filters, quartz elements, shutters and other wear parts are covered against manufacturing defects under the conditions of Article 10.1. Loss of performance or end of service life due to natural wear and tear, whose duration depends on operating conditions, does not constitute a defect.

10.3. Examination of claims. The Customer must notify any defect in writing without delay and at the latest within seven (7) days of its discovery, following, where applicable, the return procedure set out in Article 7.3. The Customer shall give the Seller and, where applicable, the manufacturer the opportunity to examine the Product concerned. If the claim proves unfounded and the Customer could have recognised this, the Seller may charge the costs of examination and travel.

10.4. Remedies. In the event of a defect covered by the warranty, the Seller shall, at its option, remedy the defect or deliver a replacement Product or part. If the repair or replacement fails, is impossible or is refused by the Seller, the Customer may request a price reduction or, if the defect is not merely insignificant, terminate the contract in respect of the Product concerned and, where applicable, claim damages within the limits of Article 11. Replaced parts become the property of the Seller. Additional transport, travel, labour or material costs resulting from the Product having been moved to a place other than the agreed place of delivery shall not be borne by the Seller.

10.5. Exclusions. The warranty excludes defects resulting from: (i) natural wear and tear; (ii) unsuitable or improper use, or faulty or negligent handling of the Product; (iii) faulty assembly or commissioning by the Customer or third parties; (iv) installation, maintenance or storage not in accordance with the manufacturer’s instructions; (v) modifications or repairs carried out by the Customer or third parties without the Seller’s written consent; (vi) use of unsuitable or non-original accessories, parts, lamps or consumables; (vii) thermal, chemical, electrochemical, electrical or other special external influences after the transfer of risk (power surges, inadequate power supply, cooling or extraction, impact, fire, flood, etc.).

10.6. The warranty is suspended for as long as the Customer is not up to date with its payments.

10.7. This contractual warranty replaces, to the extent permitted by law, any other statutory warranty against hidden defects. This does not limit the Seller’s liability in the event of wilful misconduct or gross negligence, personal injury, or under product liability legislation.

Article 11 – Liability

11.1. The Seller shall not be liable for indirect or consequential losses, such as loss of profit, loss of production, machine downtime, loss of materials, inks or substrates, loss of customers, orders or reputation, or the consequences of third-party claims against the Customer.

11.2. In any event, the Seller’s total liability, on any grounds whatsoever, shall be limited to the price, excluding taxes, actually paid by the Customer for the Product or Service that gave rise to the damage.

11.3. The above limitations shall not apply in the event of wilful misconduct or gross negligence on the part of the Seller, nor to personal injury or liability under product liability legislation, under the terms of the applicable mandatory legislation.

11.4. These General Terms are governed by Spanish law. The Seller shall not be liable for non-compliance with the rules of another country where the Customer uses or markets the Products outside Spain, unless expressly agreed in writing.

Article 12 – Force majeure

Neither party shall be liable for failure or delay in performing its obligations due to force majeure within the meaning of Article 1105 of the Spanish Civil Code, including, without limitation: strikes, labour disputes, epidemics, fires, floods, natural disasters, wars, acts of terrorism, administrative or customs restrictions, embargoes and sanctions, transport breakdowns or interruptions or energy supply failures, as well as delays or failures of supply by the Seller’s suppliers not attributable to the Seller. If the force majeure situation lasts more than three (3) months, either party may terminate the affected order by written notice, without compensation.

Article 13 – Intellectual and industrial property

13.1. The Seller and the manufacturer retain all intellectual and industrial property rights in the Products, their software and firmware, plans, diagrams, technical documentation, quotations and any other documents provided to the Customer. Such documents may not be copied, disclosed to third parties or used for purposes other than the order without the Seller’s written authorisation.

13.2. Software embedded in the Products is licensed on a non-exclusive basis, for use solely with the corresponding Product. The Customer shall refrain from decompiling or modifying it, except where permitted by law. The Customer is also prohibited from observing, examining, dismantling or testing the Products in order to obtain trade secrets of the Seller or the manufacturer (reverse engineering).

13.3. The Customer shall immediately inform the Seller of any counterfeiting or infringement of which it becomes aware.

13.4. Where the Seller manufactures or supplies Products according to drawings, models, samples or specifications provided by the Customer, the Customer warrants that their use does not infringe third-party intellectual or industrial property rights in the country of destination, and shall indemnify the Seller against any third-party claims on this ground, including resulting damages and costs. If a third party objects to the manufacture or delivery on the basis of such rights, the Seller may suspend performance of the order until the Customer and the third party have clarified the situation and, if continuation is no longer reasonable for the Seller, terminate the order without compensation.

Article 14 – Environment and waste

Mercury vapour UV lamps and electrical and electronic equipment supplied are subject to the regulations on waste electrical and electronic equipment (Spanish Royal Decree 110/2015) and on hazardous waste. Unless otherwise agreed in the quotation, the Customer, as a professional user, is responsible for managing such waste at the end of its service life through an authorised waste manager. The Customer undertakes to handle the lamps in accordance with the manufacturer’s safety instructions.

Article 15 – Export control

The Customer undertakes to comply with the applicable export control and international sanctions regulations (in particular those of the European Union) in the event of re-export of the Products. At the Seller’s request, the Customer shall provide all information and documents required for compliance with such regulations, in particular the identity of the end user, the destination and end use of the Products and, where applicable, an end-use certificate. In the event of resale or transfer of the Products to third parties, the Customer is solely responsible for compliance with the applicable regulations. The Seller may suspend or refuse any order whose performance would breach such regulations, or for which the requested information has not been provided, without giving rise to any right to compensation.

Article 16 – Personal data protection

16.1. Controller: UV-IST IBÉRICA, S.L.U., NIF B63552145, C/ Jovellanos, 79, Local 3, 08930 Sant Adrià de Besòs (Barcelona), Spain – info@es.ist-uv.com – +34 933 81 63 12.

16.2. Purpose and legal basis: the contact details of the Customer’s representatives and employees (name, position, email, telephone) are processed for the management of the business relationship (quotations, orders, deliveries, Services, invoicing and collection), on the basis of the performance of the contract and the Seller’s legitimate interest (Article 19 of Spanish Organic Law 3/2018, LOPDGDD), and for compliance with legal obligations, in particular tax and accounting obligations. They may also be used to send commercial information about similar products and services; the Customer may object at any time.

16.3. Recipients: data may be disclosed to carriers, banks and credit insurers, advisers, the Spanish Tax Agency and other IST METZ group companies within the European Union (in particular IST METZ GmbH & Co. KG, as manufacturer, for technical support and warranty management). No international transfers outside the European Economic Area take place except with the safeguards provided for in the GDPR.

16.4. Retention: data will be kept for the duration of the business relationship and thereafter for the legally applicable limitation periods.

16.5. Rights: data subjects may exercise their rights of access, rectification, erasure, objection, restriction of processing and portability by writing to info@es.ist-uv.com or to the postal address indicated, and may lodge a complaint with the Spanish Data Protection Agency (www.aepd.es), in accordance with Regulation (EU) 2016/679 (GDPR) and the LOPDGDD.

16.6. The Customer undertakes to inform the contact persons whose data it provides to the Seller of the content of this article.

Article 17 – Confidentiality

Each party undertakes to keep strictly confidential the technical, commercial and financial information of the other party of which it becomes aware in the course of the business relationship (in particular quotations, prices, technical and process data), and not to use it for purposes other than the performance of the contract. This obligation shall remain in force for the duration of the business relationship and for two (2) years after its termination.

Article 18 – Termination

Without prejudice to the other cases provided for in these General Terms, either party may terminate the contract automatically by written notice in the event of a serious breach by the other party that has not been remedied within fifteen (15) days of receipt of a written notice specifying the nature of the breach.

Article 19 – Notices

Notices between the parties shall be given in writing, by email, burofax, registered letter with acknowledgement of receipt or hand delivery against receipt, addressed to the registered office or usual email address of the other party. Notices of termination or demands for payment shall preferably be sent by burofax or by any means providing proof of receipt.

Article 20 – Severability, no waiver and amendment

20.1. If any clause of these General Terms is declared null or unenforceable, that clause shall be deemed not written, without affecting the validity of the remaining clauses.

20.2. The Seller’s failure at any time to require performance of any clause shall not constitute a waiver of its right to require it subsequently.

20.3. The Seller may amend these General Terms at any time. The version applicable to each order is the one in force on the date of its confirmation.

Article 21 – Governing law, jurisdiction and language

21.1. These General Terms and the contracts to which they apply are governed by Spanish law. The application of the United Nations Convention on Contracts for the International Sale of Goods (Vienna, 11 April 1980) is expressly excluded.

21.2. The parties shall endeavour to settle any dispute amicably. Failing agreement within one (1) month, the parties submit, expressly waiving any other jurisdiction that may correspond to them, to the Courts and Tribunals of the city of Barcelona.

21.3. These General Terms are drafted in Spanish. In the event of translation into another language, the Spanish version shall prevail in the event of any discrepancy.
